Grok Ventures is seeking a hyper efficient, pragmatic and motivated legal and operations manager. The role is ideal for an experienced lawyer looking to work within a close knit but growing investment team, focused on tech and climate investing.



Grok Ventures is the investment office of Mike and Annie Cannon-Brookes. Grok invests in high growth, tech enabled businesses solving some of the biggest challenges in decarbonisation, focusing on energy, transport and food. It is based in Sydney, Australia, but invests globally.

Grok Ventures invests across 3 buckets:

  • Venture Capital

  • Listed Equities

  • Infrastructure

The successful candidate will report directly to Grok's CEO and support Grok's full investment team. They will be responsible for managing the end to end legal process on investments across asset classes and geographies; reviewing and negotiating transaction documents, supporting on legal DD, coordinating with the investment team and instructing external counsel. They will be operating in a highly varied and fast paced environment, working with a passionate and diverse team and their investment portfolio. They will help raise the bar in Grok's operations, by building out Grok's systems and processes and supporting the team across priorities.

You will have:

  • Bachelor of Laws degree

  • Over 6 years work experience post admission at a leading law firm, in financial services, at a venture capital or PE fund and/or a venture backed company, with experience working on financing transactions and related legal matters

  • experience in managing legal processes, including negotiating terms, instructing counsel and conducting legal DD, including in areas outside of core competencies

  • ability to comprehend the financial / economic aspects of transactions, as well as a solid understanding of material control and governance provisions, in investment documents and processes

  • great at communicating both internally and externally and a hospitality mindset in dealing with all stakeholders

  • Extremely detail oriented

  • ability to apply pragmatism, practicality and consistent communication in balancing a vast array of competing priorities

  • willingness to roll up your sleeves, but also delegate to external counsel, to get the job done

  • equal ability to work autonomously and collaborate with a small team

  • insatiable appetite to learn, challenge your own and our team’s views with first principles thinking

  • passion for technology and tackling some of the hardest problems in climate change

What you will be doing

  • work with Grok’s investment team across venture capital, listed equites and infrastructure buckets to draft and negotiate term sheets across investment strategies; balancing fairness and pragmatism in every opportunity to ensure we build partnerships with our portfolio companies

  • primary responsibility for running the legal aspects of our investments and exits including assisting with legal review of financing documents such as term sheets, shareholder agreements, share subscription/purchase agreements, convertible debt instruments and merger documents, predominantly in Australia and the US, occasionally in other jurisdictions, usually in conjunction with external legal counsel

  • running legal due diligence from IP assignments to employment agreements and beyond, we’ll be relying on your judgment to isolate the issues that could really matter to the long term value of our investments

  • primary responsibility for responding to the on-going legal aspects and corporate actions of our portfolio companies, e.g. new follow-on rounds, setting up ESOPs, amending their shareholders agreement

  • improve our internal systems to make our investment process smooth and efficient for founders/companies and our investment team

  • introduce and manage processes in our broader team operations that make us more efficient

  • support management of our external comms strategy, including Grok’s website rebuild

  • own internal and external event organising; from weekly team stand ups to annual founders’ day

  • ad hoc administrative tasks and special projects, spanning office and lease management, to creating climate advisory panels

  • collaborating with the team on future organisation mapping and building
