About the role

The corporate governance function supports the Director of Finance and Corporate Services and Chief Executive in ensuring that good governance practice is followed, and that effective policies, procedures and processes are in place to support this for EngineeringUK (the trading name for the Engineering and Technology Board).

EngineeringUK is an independent charity and a company limited by guarantee.

The role is London based at the EngineeringUK offices at 10 Lower Thames Street, London EC3R 6EN and may involve some travel in the UK.

We believe that hybrid working has many benefits and are pleased to offer flexible working with a minimum of 40% a week in the office, and core hours of 10am to 4pm.

Role responsibilities

Reporting to the Director of Finance and Corporate Services, this role is responsible for:

·       Preparing and editing Board and Committee agendas and papers.

·       Taking minutes at Board and Committee meetings and circulating them promptly.

·       Managing recruitment for Board and Committee members in EngineeringUK.

·       Organising the Annual General Meeting (AGM).

·       Delivering the induction of new Board members, including preparing induction materials.

·       Maintaining a forward plan of corporate meetings.

·       Supporting recruitment and induction of Engineering Council Trustees.

·       Drafting, updating and advising on corporate governance documents, policies and procedures.

·       Coordinating risk management and supporting review of risk registers and reports.

·       Maintaining the Register of Interests and advise on conflicts of interest.

·       Working with senior colleagues to ensure regulatory requirements are met, including submissions to relevant bodies.

·       Supporting Board and Committee projects, including Board reviews, skills reviews and Charity Governance Code compliance.

·       Advising on wider corporate governance matters.

·       Reviewing and improving internal governance policies.

·       Supporting internal audit.

·       Work in line with EngineeringUK values and support achievement of our organisational objectives

·       Undertake any training and development as required for the role.

·       Supporting the Director of Finance and Corporate Services and Chief Executive with other tasks and duties as needed.

Reporting to the Director of Finance and Corporate Services you will be expected to work closely with the Executive Team and other members of staff, as well as working with Board members, to ensure that high standards of governance are met to aid the effective running of the organisation.

The post holder will be required to attend Board meetings, Annual General Meetings (AGMs) and away days. As this is a part time position this will require flexibility about working days/times on these occasions.

Person specification

Essential skills/competencies

·       Significant experience of working in corporate governance and able to demonstrate an understanding of the governance requirements of charities and companies.

·       Able to provide advice and to know when to seek legal advice in relation to governance and company law.

·       Experience of working with people across the organisation to support and encourage them to deliver to deadlines.

·       Experience of servicing a Board and/or Committee.

·       Excellent written skills.

·       Ability to communicate effectively at all levels.

·       Excellent planning and organisational skills and strong attention to detail.

·       Ability to work to deadlines.

·       Ability to maintain confidentiality.

·       Good IT skills.

Education/level of experience

•           5+  years experience of working within corporate governance.

•           You may ideally hold ICSA Postgraduate Certificate in Charity Management and/or ICSA/CGI Chartered Secretary.

•           You may ideally have experience of working in a small to medium sized organisation with charity status.
